1. Acceptance of Terms

By accessing or using the Rare Index website, applications, dashboards, or related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. About Rare Index

Rare Index provides tools and analytics for tracking, organizing, and analyzing collectible assets, including trading cards, watches, toys, LEGO sets, and other alternative assets. Features may include portfolio management, price estimates, ROI metrics, benchmarking against traditional indices, market news, and dashboards for RI Certified and registry-linked assets.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

Certain features require an account. You agree to provide accurate and complete information, keep your credentials confidential, and promptly update your information as needed.

You are responsible for all activity that occurs under your account. Rare Index is not liable for loss or damage arising from unauthorized access resulting from your failure to safeguard credentials.

5. User-Submitted Data & Portfolio Information

Users may upload or enter information such as purchase prices, dates, estimated current values, images, certification information, and notes about their assets ("User Data").

• You are solely responsible for the accuracy and legality of User Data.
• You represent that you have all rights necessary to provide User Data to Rare Index.
• Rare Index does not independently verify User Data and is not responsible for errors, omissions, or misstatements in User Data.

6. Valuation, Index & Market Data

Any valuations, indices, ROI metrics, risk scores, ratings (including "RI Certified" or "Blue Chip" style designations), or market dashboards provided by Rare Index are estimates only. They are based on blended data sources which may include third-party APIs, auction results, public market data, user submissions, historical trends, and internal models.

These outputs:

• may not reflect real-time market conditions or actual sale prices;
• may change without notice as new data becomes available;
• are provided for informational and educational purposes only.

Rare Index does not guarantee the accuracy, completeness, or timeliness of any valuation, index level, or ROI metric.

7. Third-Party Data, Partners & Compliance

Rare Index may connect to or display data from third-party services, marketplaces, grading companies, APIs, and other providers. Your use of such services may be subject to separate terms and privacy policies.

Rare Index may add, change, or remove integrations at any time to maintain contractual, technical, or legal compliance. You agree not to use the Service in a way that would cause Rare Index to violate any third-party terms.

8. Intellectual Property

All content, software, visual design, analytics, indices, trademarks, and branding on the Service are owned by Rare Index LLC or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted in writing, you may not:

• copy, modify, distribute, sell, or lease any part of the Service;
• reverse engineer or attempt to extract the source code;
• scrape, harvest, or bulk-download data for commercial use or resale.

9. Prohibited Conduct

You agree not to:

• use the Service for unlawful, fraudulent, or misleading purposes;
• interfere with or disrupt the Service or its security;
• upload malicious code or attempt unauthorized access to any systems;
• use automated tools (bots, scrapers) without prior written permission;
• represent any Rare Index valuation or index as a guaranteed sale price or appraisal.

10. Portfolio Tools & Analytics

Portfolio features are designed to help you organize and analyze your assets. Output such as performance charts, diversification metrics, or risk/return profiles is based on available data and assumptions that may not match your actual results.

You are solely responsible for any decisions you make based on these tools.

11. No Financial, Investment, or Appraisal Advice

Rare Index is an information and analytics platform. We do not provide financial, investment, tax, or legal advice.

Nothing on the Service should be interpreted as:

• a recommendation to buy, sell, or hold any collectible or security;
• a guarantee of future performance, liquidity, or value;
• a formal appraisal or certification of condition or authenticity.

You should consult your own advisors before making investment or tax decisions.

12. Service Availability & Changes

Rare Index may modify, suspend, or discontinue any part of the Service at any time, including features that rely on third-party data or infrastructure. We may also update these Terms from time to time. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Service at our discretion, including where we believe you have violated these Terms, misused the platform, or engaged in harmful or fraudulent behavior.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RARE INDEX LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, accurate, or error-free.

15. Limitation of Liability

To the fullest extent permitted by law, Rare Index LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

In all cases, Rare Index's total liability for any claims relating to the Service will not exceed the amount you paid Rare Index for use of the Service in the twelve (12) months preceding the event giving rise to the claim, if any.

16. Indemnification

You agree to indemnify, defend, and hold harmless Rare Index LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Data, or your violation of these Terms or any applicable law.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Nevada, and you consent to personal jurisdiction in those courts.
